Terms & Conditions
These terms set out the ground rules for using this website and for working together on design projects — what you can expect from me, and what I need from you.
Agreement to Terms
Welcome to Sabbir BD. By accessing this website, submitting an enquiry, or commissioning design work, you confirm that you have read, understood and agreed to these Terms & Conditions. If you do not accept them, please do not use the site or engage the services described on it.
These terms work alongside the Privacy Policy. Where a signed project agreement or written proposal exists, that document takes priority on any point it specifically covers.
Definitions
- “Designer”, “I”, “me” refers to Sabbir Hossain, trading as Sabbir BD, operating from Mirpur, Dhaka, Bangladesh.
- “Client”, “you” refers to any individual or organisation that commissions services or uses this website.
- “Services” means logo design, brand identity, graphic design, web design and any related work agreed in writing.
- “Deliverables” means the final approved files, artwork and documentation supplied on completion of a project.
- “Website” means sabbirbd.com and all of its pages and subdomains.
Services Provided
Services are delivered as an independent freelance designer, not as an employee, partner or agent of the client. Every project begins with a written proposal that defines the scope, deliverables, number of revision rounds, timeline and fee.
- Anything not listed in the accepted proposal is considered out of scope and may be quoted separately.
- I reserve the right to decline or discontinue a project that falls outside my expertise, conflicts with an existing client, or involves unlawful, deceptive or discriminatory content.
- Where I engage a specialist collaborator, I remain your single point of contact and responsible for the final quality of the work.
Client Responsibilities
Good design depends on good input. By commissioning work you agree to:
- Provide accurate briefing — supply the content, brand information, and any required assets in a usable format at the start of the project.
- Hold the necessary rights — confirm that all text, images, fonts, trademarks and other materials you supply are legally yours to use.
- Respond in reasonable time — provide consolidated feedback and approvals so the schedule can be maintained.
- Nominate one approver — designate a single decision-maker to avoid conflicting instructions.
- Keep your own backups — store the final files safely once delivered.
If a project stalls for more than 30 days because feedback or materials are outstanding, it may be paused and placed back in the queue. Restarting later may require a rescheduling fee and a revised timeline.
Quotes, Payments & Invoicing
- Quotations are based on the brief supplied and remain valid for 14 days unless stated otherwise. A materially changed brief requires a new quote.
- Deposit — unless agreed differently, a non-refundable advance of 50% is required before work begins, with the balance due on approval and before final file handover.
- Currency and charges — fees are quoted exclusive of bank charges, transfer fees and any applicable taxes, which are the client’s responsibility.
- Late payment — invoices are due within the period stated on them. Overdue balances may pause active work and delay delivery.
- Retainers and instalments — longer engagements may be billed in agreed milestones or monthly instalments.
Payments are handled through trusted third-party processors and banking channels. I never request or store your full card or bank credentials.
Revisions & Timelines
Each proposal specifies the number of included concepts and revision rounds. A revision round means one consolidated set of feedback, not a series of individual changes sent separately.
- Additional rounds, new directions or requests beyond the agreed scope are billed at my prevailing rate, quoted for approval first.
- Timelines are good-faith estimates that assume timely feedback and payment. They may shift due to scope changes, delayed responses or events beyond reasonable control.
- Rush work requested outside the agreed schedule may attract a priority surcharge.
Intellectual Property
Transfer of ownership
Full ownership of the final approved deliverables transfers to the client once the project has been paid for in full. Until that point, all concepts, drafts and working files remain my intellectual property.
What is not transferred
- Unused concepts — rejected or alternative directions remain mine and may be developed or repurposed for other work.
- Working files — layered source files, custom scripts and internal templates are supplied only when explicitly agreed, usually for an additional fee.
- Licensed assets — stock images, icons and fonts remain the property of their original licensors, and their licence terms continue to apply to you.
- My methods — the processes, know-how and tools used to produce the work stay with me.
Trademark registration and legal clearance of any name or mark is the client’s responsibility. Design work does not constitute a guarantee that a mark is available or registrable.
Portfolio & Promotion
Unless you request otherwise in writing, I may display completed work in my portfolio, on this website, in case studies and across social media, and may reference your brand name as a client. If a project is confidential or under embargo, let me know before it begins and a non-disclosure arrangement can be put in place.
Refunds & Cancellation
- Cancellation by the client — you may cancel at any time in writing. Deposits are non-refundable, and any work completed beyond the deposit value is invoiced pro rata.
- Cancellation by me — if I must withdraw for reasons within my control, any fees paid for work not yet delivered are refunded.
- Creative differences — because design is subjective, refunds are not offered on the basis of taste once agreed deliverables have been produced to the approved brief.
- Delivered work — completed and handed-over deliverables are non-refundable.
Confidentiality
Any non-public business information, strategy documents, unreleased products or credentials you share are treated as confidential and used only to deliver the project. This obligation continues after the engagement ends and does not apply to information that is already public, independently developed, or required to be disclosed by law.
Acceptable Use of Website
This website is provided for lawful, informational use. You agree not to:
- Copy, reproduce or redistribute site content, layouts or designs without written permission.
- Attempt to gain unauthorised access to the site, its server or any connected system.
- Introduce malicious code, or use automated tools to scrape or overload the site.
- Submit false, abusive, misleading or spam content through forms or comments.
- Use any content or imagery from this site to imply an endorsement or partnership that does not exist.
All site text, graphics, layout, code and branding are protected by copyright and remain my property or that of the respective owner.
Third-Party Materials
Projects may incorporate third-party fonts, stock assets, plugins or platforms. Their licences are passed on to you as supplied and their terms govern your use. I am not responsible for changes to third-party pricing, availability or terms, nor for outages of external platforms. The website may also link to external sites, which I do not control or endorse.
Disclaimers
The website and its content are provided on an “as is” and “as available” basis, without warranties of any kind, express or implied. While I take care to keep information accurate and the site available, I do not warrant that it will be uninterrupted, error-free or free of harmful components.
Nothing on this website constitutes legal, financial, tax or business advice. Design and branding services do not guarantee any specific commercial outcome, sales figure, ranking or level of audience growth.
Limitation of Liability
To the fullest extent permitted by law, I am not liable for indirect, incidental, special or consequential losses, including lost profits, lost revenue, lost data, business interruption or reputational harm, arising from the website or the services. My total aggregate liability in connection with any project is limited to the total fees actually paid by you for that project. Nothing in these terms excludes liability that cannot lawfully be excluded.
Indemnification
You agree to indemnify and hold me harmless against claims, damages, losses and reasonable costs arising from materials you supplied, from your use of the deliverables after handover, from your breach of these terms, or from any infringement of a third party’s rights caused by content or instructions you provided.
Termination
Either party may end an engagement with written notice. On termination, all fees for work performed up to that date become payable, licences to unpaid deliverables do not transfer, and confidentiality obligations continue. I may also suspend or terminate access to the website for anyone who breaches the acceptable use provisions.
Governing Law & Disputes
These terms are governed by the laws of the People’s Republic of Bangladesh, and the courts of Dhaka have exclusive jurisdiction. Before any formal action, both parties agree to attempt to resolve the matter in good faith through direct discussion for at least 30 days.
If any provision of these terms is found unenforceable, the remaining provisions continue in full effect. Neither party is liable for delays caused by events beyond reasonable control, including natural disasters, power or internet failure, illness or civil disruption.
Changes to These Terms
These terms may be revised from time to time to reflect changes in my services or legal requirements. The current version is always published on this page with its effective date. Continued use of the website after an update constitutes acceptance of the revised terms. Projects already underway remain governed by the version in effect when the proposal was accepted.
